Terms of service
KM Officeζ ͺεΌδΌη€Ύ ("we," "us," or "the Company") operates the website M Grace ("Site") and sets out these Terms of Service ("Terms") governing use of the services provided through the Site ("Services"). These Terms apply to all users as defined in Article 3.
Article 1 β Scope and Changes to Terms
These Terms apply to all users of the Services.
We may update these Terms at any time by notifying users via the Site or email. Updated Terms take effect at the time specified in the notice. If you continue using the Services after updated Terms take effect, you are deemed to have accepted the changes. If you do not accept a change, you may terminate your use of the Services before the change takes effect.
Article 2 β Use of Services
By using the Services, you agree to comply with all applicable laws, regulations, these Terms, our Usage Guidelines, and our Privacy Policy. Minors may not use the Services without prior consent from a qualified legal guardian.
Article 3 β Users
"User" means any person who, having read and accepted these Terms in full, browses, searches, or otherwise uses the content provided through the Services, including images, text, designs, logos, video, programs, ideas, and information ("Content").
Article 4 β Suspension of Access
We may suspend a user's access to the Services without prior notice if any of the following apply:
1. The user has provided false information in their shipping details
2. The user has a prior history of payment default, prolonged failure to receive goods, refusal of returns or exchanges, or other breach of obligation in connection with our services
3. The user has previously violated Article 11 (Prohibited Conduct)
4. The user has otherwise violated these Terms or any other terms they have agreed to with us
Article 5 β Personal Information
Personal information collected through the Services will be handled in accordance with our Privacy Policy.
Article 6 β Purchasing Products
Users may purchase products through the Services in accordance with our designated process. A purchase contract is formed when we send the user a dispatch confirmation email. Notwithstanding the above, we reserve the right to cancel, rescind, or take other appropriate action in the event of fraudulent or improper conduct.
Article 7 β Payment
The total amount due includes the product price and applicable taxes. Payment must be made by credit card in the user's name, an electronic payment service, or another method we designate ("Payment Method"). Any disputes between the user and their payment provider are to be resolved between those parties directly.
For international orders, the total amount due includes the product price, applicable taxes, and shipping costs.
Article 8 β Returns and Exchanges (Domestic Japan Orders)
Because products are made to order, returns are accepted only in the following cases:
1. The product has a defect
2. A product different from what was ordered was delivered
3. The product was damaged in transit
Article 9 β Disclaimer Regarding Products
Except where attributable to our fault or covered under Article 8, we make no warranties regarding the quality, materials, functionality, performance, compatibility with other products, or other characteristics of products sold through the Services, and accept no liability for any resulting damage, loss, or disadvantage.
We fulfil our delivery obligations by contacting users at their registered contact details and dispatching goods to the shipping address provided at checkout.
Article 10 β Limitation of Liability
We are not responsible for the content, use, or outcomes of any third-party websites linked to or from the Site.
We are not responsible for any transactions between users and advertisers featured on the Site.
We are not liable for any direct or indirect damage caused by temporary suspension or modification of the Services in the following circumstances:
1. Natural disasters including fire, earthquake, flood, lightning, or heavy snow
2. Social unrest including war, civil conflict, terrorism, riot, or disorder
3. Failure to receive adequate service from our contracted telecoms, logistics, or internet providers
4. Circumstances beyond our technical capacity to address
We fulfil and are discharged from our obligations by processing matters in accordance with registered user information.
Users are solely responsible for any damage caused to other users or third parties through their use of the Services.
Article 11 β Prohibited Conduct
Users must not engage in any of the following. If a violation causes damage to us or a third party, the user is liable for all resulting losses.
1. Any act that causes or may cause inconvenience, disadvantage, or harm to other users, third parties, or us
2. Any act that infringes or may infringe the intellectual property rights, portrait rights, privacy rights, publicity rights, or other rights of other users, third parties, or us
3. Using the Services for commercial purposes without our prior approval
4. Registering false or misleading information
5. Using Content obtained through the Services beyond the scope of personal use
6. Reproducing, selling, publishing, distributing, or disclosing Content obtained through the Services
7. Collecting, storing, or saving other users' personal information
8. Uploading or transmitting computer viruses, malicious code, or files designed to disrupt, damage, or limit the functionality of hardware, software, or communications equipment
9. Any other conduct we reasonably determine to be inappropriate or damaging to our reputation
Article 12 β Intellectual Property
All intellectual property rights in Content provided through the Services belong exclusively to us. Any unauthorised reproduction, republication, or secondary use prohibited under domestic or international copyright law will result in immediate legal action. Users are solely responsible for resolving any third-party disputes arising from violations of this Article.
Article 13 β Data Collection
We collect the following information to analyse access history and improve the Services:
1. IP addresses or device identifiers used when accessing our servers
2. Access information collected via cookies (technology that temporarily writes data to a user's browser to record information such as the date of last visit and number of visits)
Users who configure their browser to reject cookies acknowledge that some features of the Services may be restricted as a result.
Article 14 β Service Maintenance
We may suspend or discontinue the Services in whole or in part without prior notice in any of the following circumstances:
1. Scheduled or emergency maintenance of our systems
2. Natural disasters making system operation difficult
3. Social unrest making system operation difficult
4. System faults, unauthorised access, or virus infection making system operation difficult
5. Request from a government or judicial authority on reasonable grounds
6. Any other circumstances in which we determine suspension or discontinuation is necessary
Article 15 β Governing Law and Jurisdiction
These Terms are governed by the laws of Japan.
In the event of a dispute, we and the user will first attempt to resolve the matter in good faith.
If litigation becomes necessary, the Tokyo District Court or Tokyo Summary Court shall have exclusive jurisdiction.
Article 16 β International Orders
These Terms apply in full to international orders, with the following modifications:
(1) Returns and Exchanges β International Orders
For customers outside Japan, the following return policy applies in place of Article 8:
- You may return any item within 30 days of receipt, provided it is unworn, unused, in its original packaging, and accompanied by proof of purchase.
- To initiate a return, contact us at contact-us@mgrace-jwl.com before sending anything back. Returns sent without prior approval will not be accepted.
- Return shipping costs are the customer's responsibility. We recommend using a tracked service. We are not responsible for items lost in return transit.
- If a return is due to our error (defective item, wrong item, or transit damage), we will reimburse reasonable return shipping costs.
- Customised or personalised items are non-returnable and non-refundable under any circumstances.
- Refunds are processed to the original payment method within 10 business days of receiving and approving the return.
(2) Lab-Grown Diamond Disclosure
All diamonds sold by M Grace are laboratory-grown diamonds, also referred to as lab-created or man-made diamonds. They are physically, chemically, and optically identical to mined diamonds and are not simulants. This disclosure is made in accordance with the U.S. Federal Trade Commission Jewelry Guides, 16 C.F.R. Part 23.
(3) Import Duties and Taxes
All prices on the US storefront include applicable US import duties and taxes. No additional customs charges will be billed upon delivery. The price shown at checkout is the final price you pay.
